Intellectual Property & Model Ownership Agreement

This agreement sets out the intellectual property framework governing the NEBULONS AI Studio platform, the data submitted through it, and the models produced with it. Its central principle is simple and absolute: you own your data, and you own the models you build from it.

As between the parties, the Customer retains all right, title, and interest in the data it submits to the Services, including datasets, prompts, configurations, evaluation results, outputs, and any intellectual property embodied therein. Nothing in these terms transfers any ownership of Customer Data to NEBULONS AI. NEBULONS AI claims no licence over Customer Data other than the narrow, revocable authorisation to process it on the Customer's documented instruction for the duration of that instruction, after which the data is deleted in accordance with the Data Retention and Deletion Policy.

All fine-tuned models, model weights, checkpoints, adapters, and derived artifacts produced by the Customer through the Services are the exclusive property of the Customer from the moment of their creation. NEBULONS AI acquires no ownership, licence, or residual interest in such models. Because NEBULONS AI never uses Customer Data or Customer-trained models to train or improve any other model — its own or any third party's — the Customer's models are and remain the Customer's sole and uncontaminated property. The Customer may export its models in supported formats at any time and may use them freely, including outside the Services.

NEBULONS AI retains all right, title, and interest in the platform itself: the software, pre-trained foundation models made available for fine-tuning, infrastructure, documentation, designs, trademarks, and all improvements developed by NEBULONS AI. No rights are granted to the Customer in these assets except the limited, non-exclusive, non-transferable, revocable licence to use the Services during the term, solely for the Customer's internal business purposes in accordance with the Terms of Service and the Acceptable Use Policy.

Foundation models provided by NEBULONS AI or third-party model publishers remain the property of their respective owners and are used subject to their own licences, which are disclosed where applicable. Fine-tuning a foundation model with the Customer's data does not transfer any ownership of the underlying foundation model to the Customer; it creates a derivative artifact whose intellectual property, to the extent such rights arise under applicable law, vests exclusively in the Customer to the maximum extent permitted.

If the Customer provides feedback, suggestions, or feature requests regarding the Services, NEBULONS AI may use such feedback without restriction or obligation, provided that such use does not incorporate or reveal Customer Data or the contents of Customer models. All other rights in the feedback itself remain with the Customer.

The Customer warrants that the data it submits and the models it builds do not infringe third-party rights and that it has secured all necessary licences and permissions, including for any third-party data contained in its datasets. NEBULONS AI warrants that the platform, as provided, does not infringe third-party intellectual property rights and will respond to any properly substantiated claim in accordance with the remedies in the Master Services Agreement.

The ownership and non-training commitments in this agreement survive termination of the Services indefinitely. Even after the Customer leaves the platform, NEBULONS AI will never have used, and will never use, the Customer's data or models for any purpose beyond the instructions the Customer gave during the term.
